2. Service Description

AgriCore Software provides a comprehensive multi-tenant SaaS platform for farm and ranch management, including but not limited to:

• Accounting and financial management tools
• Livestock tracking and management
• Crop and field management
• Equipment tracking and maintenance
• AI-powered receipt processing and data analysis
• Reporting and analytics tools

The Service is provided on an "as-is" and "as-available" basis.

3. User Accounts and Responsibilities

3.1 Account Creation

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

You acknowledge and agree that:

• We do not guarantee continuous, uninterrupted data availability
• We are not responsible for data loss due to system failures, user error, third-party actions, or any other cause
• We do not guarantee data recovery in the event of loss or corruption

4.3 Data Accuracy

You are responsible for verifying the accuracy of all data entered into and retrieved from the Service. We do not verify, validate, or guarantee the accuracy of user-entered data.

5. Financial Reporting and Tax Compliance

5.1 No Financial Advice

AgriCore Software does NOT provide financial, accounting, tax, or legal advice. The Service is a tool for organizing and managing farm data, not a substitute for professional financial or tax guidance.

5.2 Accuracy of Financial Reports

WE ARE NOT LIABLE FOR THE ACCURACY, COMPLETENESS, OR CORRECTNESS OF ANY FINANCIAL REPORTS, CALCULATIONS, TAX FORMS (INCLUDING SCHEDULE F), OR ACCOUNTING DATA generated by the Service.

You acknowledge and agree that:

• All financial reports are generated based on data YOU enter into the system
• You are responsible for verifying all calculations, reports, and tax documents
• You must consult with qualified accountants, CPAs, or tax professionals before relying on any financial data from the Service
• We do not guarantee compliance with IRS regulations, GAAP, or other accounting standards
• Errors in financial reporting may occur due to software bugs, user input errors, or other factors
• You are solely responsible for the accuracy of your tax filings and financial statements

5.3 Professional Consultation Required

Before making any financial decisions or filing tax returns based on data from AgriCore Software, you MUST consult with qualified professionals, including:

5.4 IRS and Tax Liability

AgriCore Software is NOT responsible for any tax penalties, interest, fines, audits, or legal consequences resulting from inaccurate financial reporting, incorrect Schedule F preparation, or tax compliance issues.

6. Limitation of Liability

6.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGRICORE SOFTWARE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Business interruption or loss of use
• Damages resulting from data breaches or security incidents
• Errors in financial reporting or tax calculations
• Losses resulting from reliance on Service-generated data
• Third-party actions or claims

6.2 Maximum Liability

In no event shall our total aggregate liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

6.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

7. Disclaimers of Warranties

8. Indemnification

You agree to indemnify, defend, and hold harmless AgriCore Software, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your data or content posted to the Service
• Any tax, financial, or legal issues arising from your use of Service-generated reports
• Inaccurate data entry or reliance on Service calculations

9. Subscription Terms and Payments

9.1 Subscription Plans

The Service is offered through various subscription plans with different features and pricing. Subscription fees are billed in advance on a recurring basis (monthly or annually).

9.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

9.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused portions of prepaid subscriptions.

9.4 Price Changes

We reserve the right to modify subscription pricing at any time. You will be notified of price changes in advance, and continued use of the Service after the price change constitutes acceptance.

10. Data Retention and Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion.

Upon account termination or cancellation:

• We are not obligated to retain your data beyond the grace period
• You are responsible for exporting and backing up your data before cancellation

You may export your data at any time through the Service's export features. We recommend regular data exports for backup purposes.

11. Intellectual Property Rights

All content, features, functionality, software, code, designs, logos, and trademarks associated with AgriCore Software are the exclusive property of AgriCore Software and are protected by copyright, trademark, and other intellectual property laws.

You retain all rights to the data you enter into the Service. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• War, terrorism, or civil unrest
• Government actions or regulations
• Internet service provider failures
• Power outages or telecommunications failures
• Cyberattacks or hacking incidents
• Pandemics or public health emergencies

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which AgriCore Software operates, without regard to conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except as otherwise required by law.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class action lawsuits or class-wide arbitration.

15. Miscellaneous Provisions

These Terms constitute the entire agreement between you and AgriCore Software regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
